Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the www.hackerly.org website (the “Service”) operated by Hackerly Group s.r.o (“us”, “we”, or “our”). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service.

Communications

By creating an Account on our service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send or by contacting us at hi@hackerly.org. For text messages, reply STOP to any message to opt-out. Opt-out requests will be honored within 10 business days.

Purchases

If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your billing address/information, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. The service may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

User Conduct

You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials (collectively, “Content”) that you submit, post or display on or via the Service. You agree not to provide infringing, obscene, threatening, or otherwise unlawful or offensive Content. Hackerly Group s.r.o. does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.

Earnings and Income Disclaimer

Through our Service and products, we provide business strategies, information, and tools. However, individual success depends on many factors including your skills, knowledge, ability, dedication, business savvy, network, and financial situation. We do not guarantee that you will attain a particular result or earn any money using our ideas, tools, strategies or recommendations. Dispute Resolution

All disputes arising out of or in connection with these Terms shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The arbitration will be conducted in the English language in the Czech Republic. The arbitrator may award money damages but shall not have the authority to award punitive damages. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties shall maintain the confidential nature of the arbitration proceeding and the award, including the hearing, except as may be necessary to prepare for or conduct the arbitration hearing, or except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law or judicial decision. The arbitrator shall award the prevailing party its reasonable attorneys’ fees and expenses.

Privacy Policy

Your use of the Service is also subject to our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data collection practices. Our Privacy Policy is compliant with all applicable laws including the California Consumer Privacy Act (CCPA), the EU General Data Protection Regulation (GDPR), and other similar privacy regulations. NOR ITS LICENSORS, SUPPLIERS, ADVERTISERS, OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICE. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICE, THE SPECIFIC FUNCTIONS OF THE SERVICE, OR THEIR RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICE “AS IS”.

TO THE EXTENT PERMITTED BY LAW, Hackerly Group s.r.o. AND ITS AFFILIATES (AND ASSOCIATED SERVICE PROVIDERS) WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF Hackerly Group s.r.o. AND ITS AFFILIATES (AND ASSOCIATED SERVICE PROVIDERS), FOR ANY CLAIM UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES (OR, IF WE CHOOSE, TO SUPPLYING YOU THE SERVICES AGAIN). IN ALL CASES, Hackerly Group s.r.o. AND ITS AFFILIATES (AND ASSOCIATED SERVICE PROVIDERS) WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

Indemnification

You will indemnify and hold harmless Hackerly Group s.r.o. and its officers, directors, employee and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your access to or use of the Service or (ii) your violation of these Terms.
